Five Star Decor (fivestardecore.com) – WhatsApp API Services (Independent Tech Partner with GNext Chat)

Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to fivestardecore.com and your use of Five Star Decor’s WhatsApp API Services (“Services”). By using our website or Services, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company (“Client”).

Services Description

Five Star Decor provides WhatsApp API-related services, which may include:

• WhatsApp Cloud/API setup support and configuration
• Template/message flow implementation
• Integration with CRMs, websites, ERPs, ticketing tools, and automation systems
• Webhook and chatbot development
• Reporting, monitoring, and operational support

We provide these Services as an independent technology partner with GNext Chat, as applicable to the engagement.

Client Responsibilities

The Client agrees to:

• Provide accurate information and timely access required for implementation
• Maintain proper consent/opt-in to message End Users and honor opt-out requests
• Ensure message content complies with applicable laws and platform policies
• Avoid sending prohibited, unlawful, misleading, or infringing content
• Use the Services only for legitimate business purposes
• Secure its own systems, credentials, and End User data under its control

WhatsApp/Meta Platform Terms

Your use of WhatsApp messaging functionality is subject to third-party platform terms and policies (e.g., WhatsApp/Meta and any authorized providers). Five Star Decor does not control those platforms and is not responsible for outages, policy enforcement actions, account restrictions, or changes in pricing/features imposed by third parties.

Fees, Invoicing, and Payment

Fees, billing cycles, and payment terms are defined in the proposal, statement of work (SOW), or invoice agreed between Five Star Decor and the Client. Late payments may result in suspension of Services until dues are cleared, where legally permissible and contractually agreed.

Service Availability and Support

We aim to keep Services operational; however, uptime is not guaranteed unless explicitly stated in a separate SLA. Maintenance windows, third-party outages, and unforeseen incidents may impact availability.

Support scope (channels, hours, response times) will be defined in the SOW/SLA if purchased.

Data, Privacy, and Security

We process personal data as described in our Privacy Policy and any applicable data processing addendum (DPA) agreed with Clients. Clients remain responsible for determining lawful basis for messaging and for providing any required End User notices.

Intellectual Property

• Five Star Decor retains ownership of its pre-existing tools, frameworks, code libraries, and know-how.
• Client retains ownership of its brand assets, data, and content it provides.
• Custom deliverables created for the Client (e.g., integration code) will be licensed or assigned as described in the SOW; if not specified, Client receives a license to use the deliverables for its internal business purposes.

Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect confidential information using reasonable care and not disclose it except as needed to perform under the agreement, or as required by law.

Prohibited Uses

You may not use the Services to:

• Send spam, harassment, or unsolicited marketing without proper consent
• Distribute malware or attempt unauthorized access
• Violate applicable laws (including privacy, consumer protection, telecom rules)
• Infringe intellectual property or impersonate others
• Engage in deceptive practices (e.g., phishing)

Limitation of Liability

To the maximum extent permitted by law:

• Five Star Decor will not be liable for indirect, incidental, special, consequential, or punitive damages.
• Five Star Decor’s total liability for claims relating to the Services will be limited to the fees paid by the Client to Five Star Decor in the months prior to the event giving rise to the claim (or another cap if specified in the SOW).

Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

Disclaimer

Services are provided “as is” and “as available” unless otherwise specified. We do not warrant that the Services will be uninterrupted, error-free, or that third-party platforms will remain unchanged.

Termination

Either party may terminate as set out in the SOW or, if not specified, by providing written notice. Upon termination:

• The Client must pay outstanding fees for Services rendered
• Access to systems/integrations may be disabled as part of offboarding
• Data return/deletion will be handled as agreed in the SOW and subject to legal requirements

Changes to Terms

We may update these Terms from time to time by posting an updated version on fivestardecore.com. Continued use of the website or Services after changes become effective constitutes acceptance of the updated Terms.

Governing Law and Jurisdiction

These Terms will be governed by the laws of India (or your preferred jurisdiction if you specify otherwise). Courts at Nashik, Maharashtra will have jurisdiction, unless otherwise agreed in writing.
